§ 1 Scope and General Provisions
1.1 These General Terms and Conditions ("GTC") govern all contractual relationships between Lenzano UG (haftungsbeschränkt) (hereinafter "Lenzano", "we", or "us") and the customer (hereinafter "you" or "Customer") arising from purchases made through our online shop at https://www.lenzano.com.
1.2 These GTC apply exclusively. Any deviating, conflicting, or supplementary terms and conditions of the Customer shall not form part of the contract unless Lenzano has expressly agreed to their validity in writing.
1.3 These GTC apply to both consumers within the meaning of § 13 BGB (Bürgerliches Gesetzbuch) and entrepreneurs within the meaning of § 14 BGB, unless a specific provision expressly distinguishes between the two groups.
1.4 The contract language is English. The full text of the contract (order details and these GTC) will be stored by Lenzano and made accessible to the Customer upon request.

§ 3 Products and Availability
3.1 The product listings published on our website do not constitute legally binding offers, but rather an invitation to submit an order (invitatio ad offerendum).
3.2 All products are subject to availability. Lenzano reserves the right to withdraw any product from sale without prior notice. In the event that an ordered item is unavailable, Lenzano will notify the Customer promptly and any amounts already paid will be refunded in full without undue delay.
3.3 Product images on the website are for illustrative purposes only. Colours and dimensions may appear differently depending on screen settings and device calibration. Minor deviations between product images and the actual product do not constitute a defect.
§ 4 Conclusion of Contract
4.1 By clicking the "Buy Now" or equivalent order confirmation button, you submit a binding offer to purchase the selected item(s). Prior to submitting your order, you will have the opportunity to review and correct all entered information.
4.2 The contract is concluded when Lenzano dispatches an explicit order confirmation email to the email address provided, or when the goods are shipped, whichever occurs first. An automated acknowledgement of receipt of your order does not itself constitute acceptance of your offer.
4.3 Lenzano reserves the right to decline any order at its reasonable discretion, including in cases of suspected fraud, payment failure, or if we are unable to fulfil the order for operational reasons. In such cases, any payment already received will be refunded promptly.
4.4 You must be at least 18 years of age to place an order on Lenzano.com. By placing an order, you confirm that you meet this requirement.
§ 5 Prices and Taxes
5.1 All prices displayed on the website are quoted in Euro (€) and include applicable German VAT at the statutory rate, unless otherwise stated.
5.2 For deliveries to non-EU countries, additional import duties, customs fees, and local taxes may be levied by the destination country. These charges are not included in our prices and are the sole responsibility of the Customer. Lenzano has no control over and cannot predict the amount of such charges.
5.3 Lenzano reserves the right to adjust prices at any time. Price changes will not affect orders already confirmed prior to the change.
5.4 Special offers and promotional prices are valid only for the stated duration and while stocks last.
§ 6 Payment
6.1 Lenzano accepts the payment methods displayed during the checkout process. Accepted payment methods may vary by country and are subject to change without notice.
6.2 Payment is due immediately upon conclusion of the contract, unless otherwise agreed in writing. For payment by credit or debit card, your card will be charged at the time of order placement.
6.3 In the event of payment default, Lenzano reserves the right to charge default interest in accordance with § 288 BGB and to suspend fulfilment of any outstanding orders until payment is received.
6.4 You may only offset claims against Lenzano if your counterclaim has been confirmed by a final court judgment, is undisputed, or has been acknowledged by Lenzano in writing. Rights of retention may only be asserted if they arise from the same contractual relationship.
§ 7 Delivery and Shipping
7.1 Lenzano ships to the delivery countries listed during the checkout process. We do not ship to countries not listed as eligible delivery destinations.
7.2 Estimated delivery times are stated in the product listing and at checkout. These are estimates only and do not constitute binding delivery deadlines, unless a fixed date has been expressly agreed in writing.
7.3 Delivery times begin upon receipt of full payment (or, for invoice payment, upon invoice issuance), and are subject to the availability of the ordered item. Estimated delivery times are quoted in business days (Monday – Friday, excluding public holidays in Germany).
7.4 Risk of accidental loss or deterioration of the goods passes to the Customer upon delivery to the address specified in the order, or — where the Customer is an entrepreneur — upon handover to the carrier.
7.5 If delivery is delayed due to circumstances attributable to the Customer (e.g. incorrect delivery address, failed delivery attempts, refusal of acceptance), any resulting additional costs and risks are borne by the Customer.
7.6 In the event of force majeure or other extraordinary circumstances beyond our reasonable control (including natural disasters, strikes, supply chain disruptions, or governmental restrictions), Lenzano is entitled to postpone delivery for the duration of the disruption. If fulfilment becomes permanently impossible, both parties shall be entitled to withdraw from the contract.
7.7 Partial deliveries are permitted where operationally necessary, provided they do not impose unreasonable inconvenience on the Customer. Additional shipping charges will not be levied for partial deliveries that occur at Lenzano's initiative.
§ 8 Retention of Title
The goods remain the property of Lenzano UG (haftungsbeschränkt) until full payment of the purchase price has been received. Prior to transfer of title, the Customer is not entitled to resell, pledge, or otherwise encumber the goods.
§ 9 Right of Withdrawal
9.1 Consumers within the European Union have the right to withdraw from the contract within 14 calendar days of receipt of the goods, in accordance with §§ 312g, 355 ff. BGB and EU Directive 2011/83/EU.

9.3 Customers located outside the European Union have no statutory right of withdrawal. A voluntary 7-day return window may apply under the conditions specified in our Return & Refund Policy.
§ 10 Statutory Warranty (Liability for Defects)
10.1 Lenzano is liable for material and legal defects in accordance with applicable statutory provisions, in particular §§ 434 ff. BGB.
10.2 For consumers, the statutory limitation period for defect claims is two years from delivery.
10.3 For entrepreneurs, the limitation period is one year from delivery, and the obligation to inspect goods and give notice of defects pursuant to § 377 HGB (Handelsgesetzbuch) applies.
10.4 If a defect is confirmed, Lenzano shall, at its discretion, provide subsequent performance by either repair or replacement. Should subsequent performance fail, the Customer may, subject to statutory requirements, reduce the purchase price or withdraw from the contract.
10.5 The statutory warranty does not apply to defects caused by improper use, normal wear and tear, failure to follow care instructions, or damage caused by the Customer or a third party after delivery.
§ 11 Limitation of Liability
11.1 Lenzano is liable without limitation for damages resulting from wilful misconduct or gross negligence, as well as for damages arising from injury to life, body, or health.
11.2 In cases of ordinary negligence, Lenzano is liable only for the breach of a material contractual obligation (cardinal duty), i.e., an obligation whose fulfilment is essential to the proper performance of the contract and on whose compliance the Customer may regularly rely. In such cases, liability is limited to foreseeable, typically occurring damage.
11.3 The above limitations also apply in favour of Lenzano's legal representatives, employees, and agents.
11.4 Any liability under the German Product Liability Act (Produkthaftungsgesetz) and mandatory statutory provisions remains unaffected.
§ 12 Data Protection
The processing of personal data in connection with the use of this website and the execution of orders is carried out in accordance with applicable data protection law, in particular the EU General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG). § 13 Intellectual Property
All content published on Lenzano.com — including but not limited to text, images, graphics, logos, and product descriptions — is protected by German and international copyright law. Reproduction, distribution, public display, or other exploitation of this content for commercial purposes requires the prior written consent of Lenzano UG (haftungsbeschränkt). Private, non-commercial use is permitted provided that all copyright and proprietary notices are retained.
§ 14 Amendments to These GTC
14.1 Lenzano reserves the right to amend these GTC at any time with effect for future transactions. The version of the GTC applicable at the time the contract is concluded shall govern that contract.
14.2 For ongoing contractual relationships, Lenzano will notify the Customer of material amendments with a notice period of at least 30 days prior to the proposed effective date. If the Customer does not object within this period, the amended GTC shall be deemed accepted. Lenzano will expressly draw attention to this consequence in the notification.
§ 15 Online Dispute Resolution and Consumer Arbitration
15.1 The European Commission provides an Online Dispute Resolution (ODR) platform for the out-of-court resolution of contractual disputes arising from online transactions:

15.3 Lenzano is not obligated to participate in dispute resolution proceedings before a consumer arbitration board. We are, however, prepared to do so on a voluntary, case-by-case basis where appropriate.
§ 16 Governing Law and Jurisdiction
16.1 These GTC and all contractual relationships between Lenzano and the Customer are governed exclusively by the laws of the Federal Republic of Germany, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).
16.2 For consumers, this choice of law does not deprive them of the protection afforded by mandatory provisions of the law of their country of habitual residence.
16.3 For contracts with merchants (Kaufleute), legal entities under public law, or public-law special funds, the exclusive place of jurisdiction for all disputes arising from or in connection with the contractual relationship is Schönefeld, Germany. For consumers, the statutory provisions on place of jurisdiction apply.
§ 17 Severability
Should any provision of these GTC be or become invalid, unenforceable, or void in whole or in part, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a valid provision that most closely approximates the economic purpose of the invalid provision.
